1. Overview

SIMPLE STEPS MARKET LLC, a Florida Limited Liability Company organized (hereinafter referred to as the "Sponsor"), organizes free promotional giveaways with no obligation to purchase, including on Instagram (hereinafter referred to as the "Giveaway(s)"). This Giveaway is in conjunction with Bebcare ®, Active Skin Repair™, Lizush™, and Biggest Little™ (collectively, "Participating Brands").

The current Giveaway is organized via the Instagram account @simplestepsmarket, accessible at the following URL: https://www.instagram.com/simplestepsmarket, or via the Instagram mobile application, as well as https://simplestepsmarket.com/pages/better-for-baby-giveaway?pb=0 (hereinafter, the "Page").

This Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram. You understand that you are providing your information to the Sponsor and not to Instagram. By participating, you agree to release Instagram from all liability related to the Giveaway.

These official giveaway rules (hereinafter, the "Official Rules") govern the terms and conditions applicable to the Giveaway, including but not limited to entry dates, eligibility requirements, prize descriptions, winner selection methods, and other operational details.

These Official Rules shall apply indefinitely unless modified, replaced, or superseded by an applicable addendum or updated version.

2. No Purchase Necessary. No purchase or payment of any kind is necessary to enter or win. A purchase does not increase your chances of winning.

3. Eligibility, Exclusions, and Restrictions

The Giveaway is open only to natural persons who, at the time of entry:
Are legal residents of the fifty (50) United States or the District of Columbia, and
Are eighteen (18) years of age or older.

By participating, entrants represent and warrant that they meet all eligibility criteria set forth in these Official Rules. The following individuals are excluded from participation and are not eligible to win:
Employees, officers, directors, members, agents, and representatives of the Sponsor, Participating Brands, and their respective parent companies, subsidiaries, affiliates, advertising or promotion agencies, and fulfillment providers;
Immediate family members of such individuals (defined as spouse, parent, child, sibling, or any person residing in the same household, whether related or not); and
Any person who has been convicted of fraud, misrepresentation, or any criminal offense involving dishonesty.

Participation in the Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited, taxed, or restricted by law.

The Sponsor reserves the right to disqualify any individual it determines, in its sole discretion:
Has tampered with the entry process or the operation of the Giveaway;
Has acted in a disruptive or unsportsmanlike manner;
Has violated these Official Rules or the terms of any applicable Addendum; or
Has attempted to defraud, cheat, or gain an unfair advantage in any way.

Any attempt to undermine the legitimate operation of the Giveaway may be a violation of criminal or civil law, and, if such an attempt is made, the Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law.

4. Entry Period

The Giveaway will be open for entries beginning at 5:00am EST on August 11, 2025 and will end at 11:59pm EST on August 18, 2025 (the "Entry Period").

All entries must be received during the Entry Period to be considered valid. Entries submitted before the start or after the end of the Entry Period will be disqualified and will not be eligible for participation, regardless of the reason for late submission, including but not limited to technical failures, server errors, or delays caused by internet or mobile service providers.

The Sponsor's computer system or third-party entry platform timestamp shall be the official timekeeping mechanism for the Giveaway.

The Sponsor reserves the right to extend, shorten, suspend, modify, or cancel the Entry Period at its sole discretion, with or without prior notice, and for any reason, including but not limited to technical issues, fraud, or events outside the Sponsor's control. In such cases, Sponsor will update the applicable Addendum and/or publish a notice on the Giveaway Page.

5. Prizes

One (1) winner will receive a single prize package consisting of the following items, collectively referred to as the "Prize", with a Total Approximate Retail Value ("ARV") of $465.00

One (1) $100 Simple Steps Market Gift Card (ARV: $100)

All values are in U.S. dollars. Actual market value may vary at the time of prize award.

The Prize is non-transferable, non-refundable, and may not be substituted, returned, exchanged, or redeemed for cash or credit, in whole or in part, except at the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize or any component thereof with another prize of equal or greater value in the event the advertised prize becomes unavailable, in whole or in part, for any reason.

The winner is solely responsible for any and all federal, state, and local taxes, if applicable, and any other costs or expenses not expressly listed above, including but not limited to internet or device usage, transportation, or incidental costs related to accepting, claiming, or using the Prize.

Prize will be delivered to the winner at the mailing address or email address provided by the winner within approximately thirty (30) days of confirmation, unless otherwise noted. Sponsor is not responsible for any delays in delivery due to incorrect information provided by the winner, shipping delays, or other causes beyond Sponsor's control.

If the Prize is unclaimed or returned as undeliverable and no alternate winner is selected, the Prize may be forfeited or awarded at Sponsor's discretion.

The Prize is awarded "as is" and without any warranty, express or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose. Sponsor makes no representations or warranties concerning the appearance, safety, functionality, or performance of any Prize awarded.

6. Winner Selection and Notification

One (1) winner will be selected in a random drawing from all eligible entries received during the Entry Period. The drawing will be conducted by the Sponsor or its authorized representative on or about August 20, 2025.

All decisions regarding the selection of the winner are final and binding in all respects, and are not subject to appeal.

The odds of winning depend on the total number of eligible entries received, including both standard entries and those submitted via the Alternate Method of Entry.

The selected winner will be notified via the email address provided at the time of entry within five (5) business days of the drawing. The Sponsor may also attempt contact via Instagram direct message if applicable, but email shall be considered the primary method of notification.

The winner must respond to the notification within five (5) business days to confirm eligibility and acceptance of the Prize. If the winner fails to respond within the required timeframe, the Sponsor may, in its sole discretion, disqualify that winner and select an alternate winner using the same random drawing process.

Before awarding the Prize, the Sponsor may require the selected winner to complete and return the following documents within the time period specified by the Sponsor:
A signed Affidavit of Eligibility and Liability/Publicity Release
A completed IRS Form W-9 (if required by applicable tax law)
Any other documentation the Sponsor reasonably deems necessary to confirm eligibility and compliance with these Official Rules

Failure to timely return required documentation may result in forfeiture of the Prize.

The Prize may be forfeited, and an alternate winner may be selected, at the Sponsor's sole discretion, if:
The winner is determined to be ineligible under these Official Rules
The winner fails to respond to the initial notification within five (5) business days
The winner fails to timely return required documentation
The Prize is returned as undeliverable or the winner fails to provide a valid delivery address

7. Publicity Release

Except where prohibited by law, by entering the Giveaway and/or accepting a Prize, each entrant and the selected winner expressly grants to the Sponsor and Participating Brands, and their respective designees, licensees, successors, and assigns, the irrevocable, royalty-free, worldwide right and permission to use, publish, and display their name, likeness, social media handle(s), voice, statements, and any submitted content (if applicable) in whole or in part, for promotional, advertising, trade, and publicity purposes, in any media now known or hereafter developed, including but not limited to digital, print, social, and online media, without notice, review, approval, or additional compensation.

By accepting a Prize, the winner agrees to sign any further documentation that may be required by the Sponsor to effectuate this release.

Entrants understand and agree that any such permitted use does not create a commercial endorsement relationship between the entrant and the Sponsor or any Participating Brand, unless separately agreed to in writing.

Nothing herein shall require the Sponsor or any third party to make any use of the rights granted, and all such uses shall be at Sponsor's sole discretion.

8. Data Collection and Use

By entering the Giveaway, each entrant acknowledges and agrees that certain personal information—including but not limited to name, email address, mailing address (if selected as winner), and any other information provided in connection with entry—may be collected by the Sponsor and shared with the Participating Brands for purposes of:
Administering the Giveaway, including winner selection and prize fulfillment;
Verifying eligibility and compliance with these Official Rules; and
Marketing and promotional communications, subject to each entrant's express consent at the time of entry.

Entrants expressly consent to the collection, processing, use, and sharing of their information for the purposes described above. Entrants who opt in to receive marketing emails from the Sponsor and Participating Brands understand that their information will be subject to each brand's individual privacy policy and that they may unsubscribe at any time by following the instructions in any such communication.

The Sponsor will handle personal information in accordance with its Privacy Policy, available at: https://simplestepsmarket.com/policies/privacy-policy. Each Participating Brand will retain and use your personal information in accordance with its own privacy policy. Entrants are encouraged to review the applicable privacy policies of each Participating Brand for details on how their information may be collected, used, and shared.

The Sponsor will not sell, rent, or disclose personal information to unauthorized third parties, except as required by law, or as necessary for administration of the Giveaway.
Entrants acknowledge and accept that data transmissions over the internet are not guaranteed to be secure and that Sponsor disclaims all liability for loss, unauthorized access, or misuse of personal data resulting from any act or omission beyond its reasonable control.

9. Miscellaneous; Limitation of Liability; Disputes and Governing Law

The Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Giveaway in whole or in part, at any time and for any reason, including but not limited to fraud, technical failures, human error, or any other factor that impairs the integrity or proper functioning of the Giveaway. In such event, Sponsor may, in its sole discretion, determine the winner from among all eligible, non-suspect entries received up to the time of such termination.

Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

If any provision of these Official Rules is determined to be invalid or unenforceable under applicable law, such provision shall be severed from the remaining terms, which will remain in full force and effect.

These Official Rules, together with any applicable Addenda, constitute the full and exclusive understanding between entrants and the Sponsor regarding the Giveaway and supersede all prior communications, representations, or agreements, whether oral or written.

By participating in the Giveaway, entrants agree to release, discharge, and hold harmless the Sponsor, Participating Brands, their respective parent companies, affiliates, subsidiaries, advertising and promotional agencies, and each of their respective officers, directors, employees, contractors, representatives, and agents (collectively, the "Released Parties") from and against any and all liability, claims, losses, damages, or causes of action arising out of or in connection with:
Participation in the Giveaway;
Acceptance, possession, use, or misuse of any Prize;
Unauthorized human intervention or technical failures of any kind;
Errors in printing, administration, or operation of the Giveaway.

The Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, delayed, or damaged entries; failures or malfunctions of phones, lines, or computer systems; or any injury or damage to an entrant's or any other person's computer or device related to or resulting from participation in or downloading materials related to this Giveaway.

IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THE GIVEAWAY OR THE USE OR MISUSE OF ANY PRIZE.

If any portion of this dispute resolution provision is found to be unenforceable, the remaining portions shall remain in full force and effect.

The Giveaway and these Official Rules are governed by and shall be construed in accordance with the laws of the Florida without giving effect to any choice of law or conflict of law principles that would require the application of the laws of another jurisdiction. By participating, each entrant agrees that:
Any and all disputes, claims, or causes of action arising out of or in connection with this Giveaway or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively in the state or federal courts located in Palm Beach County, Florida.
Each entrant waives any claim to punitive, incidental, or consequential damages, or attorneys' fees; and
Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred in entering the Giveaway, not to exceed fifty dollars ($50 USD), and in no event shall an entrant be entitled to recover attorneys' fees or other legal costs.

10. Acceptance of Official Rules

By participating in the Giveaway, each entrant confirms that they have read, understood, and agree to be bound by these Official Rules, including any applicable Addenda. Failure to comply with these Official Rules may result in disqualification at the Sponsor's sole discretion.
